I've been thinking of starting a small business for my computer/data services. After reading a bunch, it sounds like a LLC would be right for me. So it looks like I need to submit a LLC articles of organization:

http://www.sos.state.mn.us/home/index.asp?page=18&dc_id=106

The name I will be submitting will be a fairly generic name such as JB Insights LLC or something in case I would like to change what I do or the services I offer. No need to make it too specific I guess. The question is if I then want to run the business under JB Computer Services or something do I then just have to fill out an assumed name file:

http://www.sos.state.mn.us/home/index.asp?page=18&dc_id=96

Or maybe I'm reading everything all wrong? I know there are a few people on here that have gone through this before so any direction or help you could give would be very appreciated.

And if I'm missing something totally please let me know as this is uncharted waters for me. The Guide for Starting a Business in MN is helpful but doesn't quite guide me through as nicely as I would like. Thanks!

Search for the MN DEED site. It will pretty much walk you through it. You have to register a name and then get a federal and state tax ID number. That is about it for a LLC, which is what I would recommend.

I actually set my S-Corp up through a lawyer friend of mine. He drew up the articles of incorporation, stock certificates and such. For an LLC, I believe you can just register online for it. You'll need to file your name with the state, get a state and federal tax ID number and that's about it.

Thanks for the help guys. I think I've got everything straightened out now. Found a nice young lady at the Secretary of State's office to answer some questions.
